- Not an employee of the company or its affiliates.
- Not a director or supervisor of the company or its affiliates (except for independent directors of the company, its parent company, subsidiaries, or subsidiaries of the same parent company who hold concurrent positions under this law or local laws).
- A natural person shareholder who is not oneself, his/her spouse, minor children, or a natural person shareholder who holds more than 1% of the total issued shares of the company or is one of the top ten share holders in the name of others.
- Not the manager listed in (1) or the spouse, relative within the second degree of kinship, or direct blood relative within the third degree of kinship of the person listed in (2) or (3).
- Directors, supervisors or employees of legal person shareholders who do not directly hold more than 5% of the total issued shares of the company, are among the top five share holders, or have designated representatives to serve as directors or supervisors of the company in accordance with Article 27, Paragraph 1 or 2 of the Company Law (but this does not apply if the company and its parent company, subsidiaries, or subsidiaries of the same parent company have independent directors who serve concurrently in accordance with this Act or local national laws).
- Directors, supervisors or employees of other companies who do not hold more than half of the director seats or voting shares of the company and are controlled by the same person (but this does not apply if they are independent directors appointed by the company or its parent company, subsidiary companies or subsidiaries of the same parent company in accordance with this Act or local laws and regulations).
- A director (director), supervisor (supervisor) or employee of another company or institution who is not the same person or spouse as the company's chairman, general manager or person with equivalent positions (but this does not apply if the independent directors established by the company and its parent company, subsidiary companies or subsidiaries of the same parent company in accordance with this Act or local national laws concurrently serve with each other).
- Directors (directors), supervisors (supervisors), managers or shareholders holding more than 5% of the shares of a specific company or institution that does not have financial or business dealings with the company (but this does not apply if a specific company or institution holds more than 20% but not more than 50% of the total number of issued shares of the company, and is an independent director appointed by the company and its parent company, subsidiary or subsidiary of the same parent company in accordance with this Act or local national laws. - Professionals, sole proprietors, partnerships, business owners, partners, directors (governors), supervisors (supervisors), managers and their spouses who are not business, legal, financial, accounting and other related services that provide audits for companies or affiliated enterprises or whose cumulative remuneration in the past two years does not exceed NT$500,000. However, this does not apply to members of the Salary and Remuneration Committee, the Public Takeover Review Committee or the Special Mergers and Acquisitions Committee who perform their duties in accordance with the Securities and Exchange Act or the Corporate Mergers and Acquisitions Act.
- Failure to meet any of the conditions specified in Article 30 of the Company Law.
